Terms of Service

1. Acceptance of Terms
Welcome to EnergyPager. By accessing or using our platform, services, or applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
These Terms constitute a legally binding agreement between you and EnergyPager ("we", "us", "our"). We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.
2. Description of Services
EnergyPager provides a platform for:
- Creating verifiable energy attestations using blockchain technology
- Converting solar and renewable energy production data into Renewable Energy Certificates (RECs)
- Marketplace for buying and selling energy attestations
- Verification tools for energy data authenticity
- API access for third-party integrations
Our Services utilize Ethereum Attestation Service (EAS) and other blockchain technologies to create immutable, verifiable records of energy production.
3. User Eligibility
To use our Services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using our Services under applicable laws
- Comply with all local, state, national, and international laws
By using our Services, you represent and warrant that you meet these eligibility requirements.
4. Account Registration and Security
4.1 Account Creation
- You must provide accurate, current, and complete information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You agree to immediately notify us of any unauthorized use of your account
- We reserve the right to suspend or terminate accounts at our discretion
4.2 Wallet Connection
- You are solely responsible for the security of your cryptocurrency wallet
- We do not store your private keys or seed phrases
- You acknowledge the risks associated with blockchain transactions
- Lost or stolen wallet access cannot be recovered by EnergyPager
4.3 Invite-Only Access
During our beta phase, access to certain features may require an invitation. Invitations are non-transferable and subject to availability.
5. User Responsibilities and Conduct
5.1 Accurate Data Submission
You agree to:
- Provide accurate and truthful energy production data
- Only submit data for energy systems you own or have authorization to represent
- Not manipulate, falsify, or misrepresent energy data
- Verify the accuracy of uploaded CSV/JSON files
5.2 Prohibited Activities
You agree NOT to:
- Create fraudulent attestations or RECs
- Use our Services for illegal purposes
- Violate any applicable laws or regulations
- Attempt to hack, exploit, or disrupt our Services
- Upload malicious code, viruses, or malware
- Impersonate others or misrepresent your affiliation
- Scrape, crawl, or use automated tools without permission
- Interfere with other users' access to the Services
- Reverse engineer or attempt to extract source code
- Create duplicate accounts to circumvent restrictions
5.3 Consequences of Violations
Violations may result in account suspension, termination, legal action, and reporting to authorities. We reserve the right to investigate suspected violations and cooperate with law enforcement.
6. Renewable Energy Certificates (RECs)
6.1 REC Creation
- RECs are created based on verified energy production data
- One REC typically represents 1 MWh (1,000 kWh) of renewable energy
- You retain ownership of RECs until sold or transferred
- REC calculations use industry-standard formulas and environmental impact metrics
6.2 REC Marketplace
- Marketplace transactions are subject to fees (disclosed at time of transaction)
- Prices are set by sellers; we do not control pricing
- All sales are final once confirmed on-chain
- We are not responsible for pricing disputes between buyers and sellers
6.3 No Double-Counting
You agree not to claim or sell the same energy production data multiple times across different platforms. Double-counting or reselling RECs created through EnergyPager on other platforms is prohibited.
7. Blockchain and Smart Contracts
7.1 Immutability
Blockchain attestations are permanent and cannot be deleted or modified. Once you create an on-chain attestation, it exists indefinitely on the blockchain.
7.2 Gas Fees
- We may offer gasless minting (server pays fees) at our discretion
- Gas fees may be required for certain on-chain operations
- You are responsible for gas fees unless explicitly stated otherwise
- Gas fee estimates are approximations and may vary
7.3 Smart Contract Risks
You acknowledge that:
- Smart contracts are experimental technology
- Bugs or vulnerabilities may exist despite best efforts
- Blockchain transactions are irreversible
- Network congestion may delay transactions
- We are not liable for smart contract failures or blockchain network issues
7.4 Network Changes
We reserve the right to migrate to different blockchain networks (e.g., testnets to mainnet, Ethereum to Layer 2 solutions) with advance notice.
8. Fees and Payments
8.1 Platform Fees
Current fee structure:
- Marketplace Transactions: 2.5% fee on REC sales
- Premium Subscriptions: $5-20/month (auto-attestations, analytics)
- Enterprise API: Custom pricing based on usage
- Free Tier: Basic attestation creation available at no cost
8.2 Payment Processing
- Payments may be processed via Stripe, cryptocurrency, or other providers
- All fees are non-refundable unless required by law
- Subscription fees are charged monthly or annually as selected
- You authorize us to charge your payment method for applicable fees
8.3 Fee Changes
We reserve the right to change fees with 30 days' notice. Continued use after notice constitutes acceptance of new fees.
9. Intellectual Property Rights
9.1 Our Rights
EnergyPager and all related trademarks, logos, designs, and content are owned by us or our licensors. You may not use our intellectual property without written permission.
9.2 Your Content
You retain ownership of energy data you upload. By using our Services, you grant us a worldwide, non-exclusive, royalty-free license to:
- Process and display your energy data
- Create attestations on your behalf
- Display aggregated, anonymized statistics
- Improve our Services using anonymized data
9.3 Open Source
Portions of our protocol layer are open source under the MIT License. Commercial use of the platform is subject to these Terms.
10. Third-Party Services
Our Services integrate with third-party providers:
- Firebase: Authentication, database, hosting
- Ethereum/Base Network: Blockchain infrastructure
- IPFS/Web3.Storage: Decentralized storage
- Wallet Providers: MetaMask, WalletConnect, etc.
We are not responsible for third-party service outages, failures, or changes. Your use of third-party services is subject to their respective terms.
11. Disclaimers and Warranties
11.1 "AS IS" Basis
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability or fitness for a particular purpose
- Warranties of non-infringement
- Warranties that the Services will be uninterrupted or error-free
- Warranties regarding the accuracy or reliability of data
11.2 No Financial Advice
We do not provide financial, investment, tax, or legal advice. REC pricing, environmental impact calculations, and market data are for informational purposes only. Consult professionals before making financial decisions.
11.3 Beta Services
Certain features may be designated as "beta" or "experimental." These features are provided for testing and may contain bugs or be discontinued without notice.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENERGYPAGER AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from blockchain network issues
- Damages from unauthorized access to your account or wallet
- Damages from third-party service failures
- Damages exceeding $100 USD or fees paid in the last 12 months, whichever is greater
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless EnergyPager and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your violation of these Terms
- Your violation of applicable laws or regulations
- Your infringement of third-party rights
- Fraudulent or inaccurate data you submit
- Your use of the Services
14. Termination
14.1 By You
You may terminate your account at any time by contacting support or using account deletion features. Termination does not affect blockchain attestations already created.
14.2 By Us
We may suspend or terminate your access if:
- You violate these Terms
- Your account is inactive for over 12 months
- We are required to do so by law
- We discontinue the Services (with 30 days' notice)
14.3 Effect of Termination
- Your access to the Services will cease
- Unpaid fees remain due
- On-chain attestations remain permanent
- Off-chain data will be deleted per our Privacy Policy
15. Dispute Resolution
15.1 Informal Resolution
Before filing a claim, you agree to contact us at legal@energypager.com to attempt informal resolution.
15.2 Binding Arbitration
If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except for:
- Small claims court actions
- Intellectual property disputes
- Injunctive relief requests
15.3 Class Action Waiver
You agree to arbitrate disputes on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative actions.
15.4 Governing Law
These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.
16. Force Majeure
We are not liable for delays or failures due to events beyond our reasonable control, including:
- Natural disasters, pandemics, or acts of God
- War, terrorism, or civil unrest
- Government actions or regulations
- Blockchain network failures or congestion
- Internet or telecommunications outages
- Third-party service provider failures
17. Modifications to Services
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice. We are not liable for any modifications, suspensions, or discontinuations.
18. Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and EnergyPager regarding the Services.
19. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
20. Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
21. Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
